General Terms – I

I/We accept the Terms & Conditions and request you to process & execute our orders ,based on the under mentioned terms. All products/services and information displayed on www.kmrsty.com (“Site” or “ www.kmrsty.com ”) constitute an "invitation to offer". Your order for purchase, search for  information constitutes your "offer" which shall be subject to the terms and conditions as listed below. www.kmrsty.com reserves the right to accept or reject your offer. www.kmrsty.com here refers to a site owned, operated & maintained by K.M.Radhakrishna Chetty & Bros,(hereafter referred to as “KMR” a firm having its registered office at 59/808, Palayam Road, Calicut -673001 , Kerala, India .

Eligibility

Use of the Site is available only to persons who can form legally binding contracts under applicable law. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including un-discharged insolvents etc. are not eligible to use the Site. If you are a minor i.e. under the age of 18 years but at least 13 years of age you may use this Site only under the supervision of a parent or legal guardian who agrees to be bound by these Terms of Use. If your age is below that of 18 years , your parents or legal guardians can transact on behalf of you if they are registered users. You are prohibited from purchasing any material which is for adult consumption  the sale or purchase of which to/by minors are strictly prohibited. www.kmrsty.com reserves the right to terminate your registration and refuse to provide you with access to the Site if www.kmrsty.com discovers that you are under the age of 18 years. The Site is not available to persons whose activation has been suspended or terminated by www.kmrsty.com for any reason whatsoever.

Pricing/Product Information- variation

While www.kmrsty.com  strives to provide accurate product and pricing information. Pricing or typographical errors may occur. In the event that a product is listed at an incorrect price or with incorrect information due to an error in pricing or product information, www.kmrsty.com shall have the right, at our sole discretion, to refuse or cancel any orders placed for that product, unless the product has already been dispatched. In the event that an item is wrongly priced,www.kmrsty.com may, at its discretion, may either contact you for instructions or cancel your order and notify you of such cancellation. Unless the product ordered by you has been dispatched, your offer will not be deemed accepted and www.kmrsty.com will have the right to modify the price of the product and contact you for further instructions using the e-mail address provided by you or shall be informed in our site against your order which can be viewed in "ORDER" or in such other manner as fixed by www.kmrsty.com , once the orders are placed by you, or cancel the order and notify you of such cancellation. In the event that www.kmrsty.com accepts your order the payment for the orders placed is to be remitted in such bank accounts (by Credit card/Debit card account if such facility is provided in www.kmrsty.com) or in such other manner as fixed by www.kmrsty.com . Additional amount if any towards difference in amount shall be duly paid by you immediately on information from www.kmrsty.com in advance and the details of amount (difference) shall be duly notified to you by email or in such other manner as fixed by www.kmrsty.com. The payment may or may not be processed prior to www.kmrsty.com dispatch of the product that you have ordered. If we have to cancel the order after we have processed the payment, the said amount will be remitted to your account  (The  bank account details have to be furnished to www.kmrsty.com for  any remittance to your account).

Any excess/ short dispatch is to be informed and such procedures shall be complied to ensure smooth sorting of issues.

 

Cancellation by kmrsty.com

Please note that there may be certain orders that we are unable to accept and must cancel. We reserve the right, at our sole discretion, to refuse or cancel any order for any reason. Some situations that may result in your order being cancelled include limitations on quantities available for purchase, inaccuracies or errors in product or pricing information, problems identified by our credit and fraud avoidance department if paid by credit / debit card. We may also require additional verifications or information before accepting any order. We will contact you if all or any portion of your order is cancelled or if additional information is required to accept your order. If your order is cancelled after your remittance, the said amount shall be remitted to your account.
 
Cancellations by the customer

In case we receive a cancellation notice and the order has not been processed /approved by us, we shall cancel the order and refund the entire amount if paid for. Orders once processed cannot be cancelled (with or without payment).   www.kmrsty.com has the full right to decide whether an order has been processed or not. The customer agrees not to dispute the decision made by www.kmrsty.com and accept www.kmrsty.com decision regarding the cancellation. Products once processed/dispatched cannot be returned or cancelled. Nothing herein will prevent you from returning the product pursuant to rights available to you under applicable law.

Representation

www.kmrsty.com does not make any representation or warranty as to the attributes (such as quality, worth, marketability etc.) of the items or services proposed to be sold on the site by KMR ,their vendors, others & accepts no liability for any errors or omissions, whether on behalf of itself or their principals, vendors, others. www.kmrsty.com  shall provide such information or products through the site on such terms as fixed KMR. KMR shall not be liable for any errors, representation made by them, vendors, others.  In all cases such errors may be brought to the notice of KMR for such corrections & the same shall be attended to by KMR. Any omission to attend to such errors shall not be disputed. In all cases KMR shall  be indemnified by such person/persons( including vendors, others).

You release and indemnify www.kmrsty.com and/or any of its officers and representatives from any cost, damage, liability or other consequences if any for the actions of them or their principles, clients, vendors and specifically waive any claims that you may have in this behalf under any applicable law.

                     
Credit Card/Debit Card Details/ Payments

In case www.kmrsty.com provides a facility for payment by credit/debit cards, you agree, understand and confirm that the credit card/debit card details provided by you for availing of services on www.kmrsty.com will be correct and accurate and you shall not use the credit card/debit card which is not lawfully owned by you, i.e. in a credit card/debit card transaction, you must use your own credit card/debit card. You further agree and undertake to provide the correct and valid credit card/debit card details to kmrsty.com. Further the said information will not be utilized and shared by www.kmrsty.com with any of the third parties unless required by law, regulation or court order. www.kmrsty.com will not be liable for any credit card/debit card fraud. The liability for use of a card fraudulently will be on you and the onus to ’prove otherwise’ shall be exclusively on you.

Fraudulent /Declined Transactions

www.kmrsty.com reserves the right to recover the cost of goods, collection charges and lawyers’ fees & other incidental charges from persons using the site fraudulently. www.kmrsty.com reserves the right to initiate legal proceedings against such persons for fraudulent use of the site and any other unlawful act or acts or omissions in breach of these terms and conditions.    

Electronic Communications

When you visit the Site or send emails to us, you are communicating with us electronically & you give your consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the site. You agree that all agreements,terms, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

 

You Agree and Confirm

       That in the event that a non-delivery occurs on account of a mistake by you (i.e. wrong name or address or any other wrong information) any extra cost/expense incurred by www.kmrsty.com for redelivery shall be claimed from you. The liability of www.kmrsty.com is limited to dispatch of materials. Material  dispatched are at the risk of the person ordering.
       That you will use the services provided by www.kmrsty.com, its affiliates, consultants and contracted companies, for lawful purposes only and comply with all applicable laws and regulations while using the site and transacting on the Site.
   You will provide authentic and true information in all instances where such information is requested of you.www.kmrsty.com reserves the right to confirm and validate the information and other details provided by you at any point of time. If upon confirmation your details are found not to be true (wholly or partly), www.kmrsty.com has the right in its sole discretion to reject the registration and debar you from using the services of www.kmrsty.com and / or other affiliated websites without prior intimation whatsoever.
That you are accessing the services available on this Site and transacting at your sole risk and are using your best and prudent judgment before entering into any transaction through this Site.
That the address, details at which delivery of the product ordered by you is to be made will be correct and proper in all respects.
That before placing an order or using information,  you will check the product description etc., carefully. By placing an order for a product you agree to be bound by the conditions of sale included in the item’s description.
You may not use the Site for any of the following purposes :
Disseminating any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.
Transmitting  material that encourages /conduct that constitutes a criminal offence, results in civil liability or otherwise breaches any relevant laws, regulations or code of practice.

Modification of Terms and conditions of Service

Subsequent to any modification of these terms, you can access the latest version of the terms at any given time on www.kmrsty.com. You should regularly review the terms on www.kmrsty.com site. In the event, the modified terms is not acceptable to you, you should discontinue using the service. However, if you continue to use the service you shall be deemed to have agreed to accept and abide by the modified terms.

This clause shall survive the expiry or termination of these terms.

Termination

These terms are effective unless and until terminated by either you or www.kmrsty.com. You may terminate the registration at any time, provided that you discontinue any further use of this site. www.kmrsty.com may terminate these terms at any time and may do so immediately without notice, and accordingly deny you access to the site. Such termination will be without any liability to www.kmrsty.com. Upon any termination of these terms by either you or www.kmrsty.com, you must promptly destroy all materials downloaded or otherwise obtained from this Site, as well as all copies of such materials, whether made under these terms or otherwise. www.kmrsty.com’s right to any Comments shall survive any termination of these terms. The customer, by virtue of mere signing-up for and/or logging into www.kmrsty.com website for purchases, information indicates unequivocal acceptance of these conditions.

Privacy Policy

We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent and we only use your information as described in the Privacy Policy. We view protection of your privacy as a very important community principle. We understand clearly that you and Your Information is one of our most important assets. We store and process your Information on computers that are protected by physical as well as technological security devices. If you object to your information being transferred or used in this way please do not use the Site.

General Terms-II  

Price - Price mentioned in the site is generally excluding all taxes, freight, handling or as mentioned in the site, on the day of executing orders.
Incase amount is remitted into any specified bank in India/Overseas, remittance charges of any bank is to customers account i.e. charges if any are to be borne by customers. Dispatch in all cases shall be made only after credit in our account or as fixed by KMR.
Dispatch - The normal dispatch time by KMR or their principals depends on the product ordered. Normally dispatches are made on or within 10 working days from the date of order & payment made for the order in full, which is again based on the product ordered and after confirmation by KMR. However dispatch time mentioned above is for items in stock. Items ordered out of stock may take such time as required by principals of KMR which shall be informed. However at times the execution can be delayed for which the user placing orders agree to.  Dispatch will be at customers risk in all cases.
Price, model & specification: subject to change without prior information by our principals, KMR. The customer is expected to verify the type of product exhibited in www.kmrsty.com before placing orders. It may not be possible to judge the quality of the product through internet, with precision. Therefore the customer may exercise the option of getting such minimum quantity product  to assess  and feel the quality and aesthetic value of the product, and proceed with their orders. Quantity - The order shall be for such quantity as may be mentioned in www.kmrsty.com. Any omissions with regard to the quantity shown shall be accepted by USER for such corrections.

Order- accepted subject to FORCE MAJEURE clause. Liability is limited to the amount remitted, in case of non-dispatch by principals/suppliers. Liability in all cases is limited to the amount remitted by you. In case you want the dispatches insured, the same has to be informed and such additional charges for the same are to be remitted in advance i.e. the insurance amount shall be to your account.
Billing-Bills shall be raised directly in your name by KMR or their principals as fixed by KMR. Orders shall stand cancelled, in case the full amount including freight, handling etc. as applicable is not remitted immediately on confirmation or as based on terms agreed to by KMR. In all cases orders shall be executed based on the availability of stock.

Link to www.kmrsty.com may be provided from other sites. Placing a link from other sites in whatever the case may be, amounts to acceptance of these terms i.e. the terms and conditions of www.kmrsty.com, on a USER visiting through such other site.

Dealer, Franchisee

Dealers, Franchisee of www.kmrsty.com are to comply with the schemes and shall operate based on the procedure mentioned by KMR and shall not do or act against the interest of KMR. Such margins as fixed by KMR shall be passed on to dealers, franchisees based on the schemes operated by KMR operating through www.kmrsty.com or otherwise. For overseas operations, the procedure can be based on such policies incorporated by KMR. KMR has the sole right to deactivate any dealer without any prior information based on the policies of KMR, which shall not be disputed, contested and agree that no claims shall be raised by such dealer, franchisee. PAN number & such information are required for activation as dealers, franchisees. Margins & schemes shall vary from one dealer, franchisee to another dealer, franchisee, which shall not be disputed to. www.kmrsty.com dealers, franchisees referred to as “DEALERS” are dealers who are eligible legally to enter into contract for promoting www.kmrsty.com site and products in www.kmrsty.com. Dealership may or may not be offered free & In which case, the DEALERS agree to pay such dealership deposit for operations. Dealership may be for such product, products of www.kmrsty.com  as fixed by KMR. Dealership deposit is interest free. The investment & criteria shall be different or same for a type of dealer, franchisee & the right for the same rests exclusively with KMR.

In case of franchisees, the franchisee shall lift material exclusively from KMR, for which the franchisee agrees to. The franchisees are normally given the right to use the name KMR if authorized in writing by KMR. The franchisees shall operate as dealers in general with or without such additional facilities. The franchisees agree that they shall not use the name KMR or any material, once the operation as franchisee is terminated for any reason, which shall not be disputed or contested & further agree that no claims of any nature shall be made and further agree to indemnify KMR for any of their acts of omission, commission or otherwise.

The dealers, franchisees agree to comply with the policies & procedures of KMR & also agree to comply with such policies & procedures, as and when such changes, additions are made to the policies & procedures. The stocks purchased from KMR or through KMR are the property of the dealers, franchisees & such stocks shall not be returned or taken back in cases of termination or discontinuation in such capacity.

Any person (Individual, Firm, Company etc.) who joins as a dealer, franchisee accepts these terms. Dealer, franchisee may be a business entity, service provider or any other person who shall promote www.kmrsty.com, products in www.kmrsty.com .The DEALERS agree to promote the products safeguarding the interest of KMR and shall comply with the terms and conditions applicable for the dealership and further agree to operate on such schemes and margins as applicable from time to time based on the policies and procedures incorporated by KMR along with the terms applicable for such product or products.
The DEALERS agree to the Terms and Conditions of the site www.kmrsty.com, mentioned in our site and further agree that the terms have been read, agreed and accepted. The DEALERS further agree and shall have no objection in blocking the dealership at any point of time without prior notice due to legal issues arising , otherwise, which shall not be disputed, contested.

The DEALERS also agree to any updates, changes in these terms and the same shall be adhered to. At any point, the DEALERS disagree with these terms, they shall discontinue their operations following the policies & procedures of KMR.     

The customers of DEALERS belong to KMR. The DEALERS do not have any rights on the customers, dealers appointed by them or through them and KMR has the sole right over customers and dealers appointed by DEALERS .DEALERS appointed by KMR are on a nonexclusive basis. Further the DEALERS are not eligible for any claims, allowances incase the dealership is blocked for any reasons. The blocking, deactivation of DEALER is at the sole discretion of KMR and the rights for the same solely rest with KMR. KMR is waived from giving any reasons or details for blocking, deactivation of dealers. In such cases KMR shall be indemnified by such DEALERS.

The DEALERS shall take up all responsibilities and liabilities incurred by KMR, its employees for any wrong information provided by them and KMR, in all cases shall be indemnified by the DEALER. Dealer details shall be provided on request to all or to those at the discretion of KMR, which shall not be disputed for.  Passing DEALER information to any one does not imply the credibility of DEALER and anyone dealing with, operating through DEALER are operating at their risk and  KMR accepts no risk , liability , damages of  any kind and shall be indemnified by such persons .

 

 

 

 

1.The genuinity of customers are to be considered by DEALERS for orders of their customers. Support to customers are to be provided. The interest of KMR is to be safeguarded and anything contrary to the interest of KMR should be brought to the notice of KMR in writing and such steps as required by KMR shall be taken to safeguard the interest of KMR.

2. Payments should always be collected against delivery of products. Any advance paid by customers are to remitted to KMR, which the customers should ensure by following such process if ordered through site. Customers pay advance to DEALERS at their risk & agree that KMR shall not be responsible or liable (of any nature) for such acts. In case of such complaints, KMR shall verify the same & shall do necessary for products supplied through KMR to such dealer, provided all necessary details are furnished by DEALERS. In all cases , the maximum liability is restricted to deactivation of supply to such DEALERS, cancellation of status of DEALER. The customers can proceed directly on the suppliers directly for any complaints with regard to products. The customers can proceed legally against DEALERS for their negligence & commissions in all cases ,directly & agree that KMR shall not be made a party for any such disputes.  

 3. Security deposit  for dealership  are fixed by KMR. Security deposit is interest free .KMR may or may not raise charges on dealers, which shall be based on the schemes or offers promoted / incorporated by KMR.

4.Promotion material costs may or may not be charged by KMR. The charges if any for the promotion materials shall be followed as per the policies and terms of KMR. Service/support charges may or may not be charged by KMR depending on the product & policies of KMR.

5.The dealers are offered such margins as fixed by KMR which may or may not change, which is normally based on the schemes and offers promoted, incorporated by KMR and can differ from product to product , dealer to dealer & dealer type.

Margins are normally available for various schemes, offers and the same can be availed following the process incorporated by KMR or in such other manner fixed by KMR.  Omissions if any are to be brought to the notice of KMR in writing and the same shall not be disputed, proceeded against KMR for claims, otherwise. Bills can be raised on dealers based on the dealer type & in such cases dealers are to raise bills on their customers following such procedures & policies fixed by KMR.    The dealer margins, operations & type of dealer are fixed by KMR for which the DEALERS agree to.

6.The amount due to KMR for your customers orders can be viewed online , provided the orders are placed in the site www.kmrsty.com. The customers are to be assisted. Their payments due to KMR may be remitted in specified bank account of KMR. The procedure for the same is fixed by KMR.

7.Taxes are as applicable or as mentioned against the product or as per quote .

8. Logging into the site, registering themselves as a dealer of www.kmrsty.com, requesting KMR in writing for DEALER is presumed as a consent accepting terms and conditions of www.kmrsty.com.

9. The validity period of dealership is fixed by KMR and the period can be product wise , or for group of products , otherwise as fixed by KMR. The rights to the validity period, activation, security deposit, charges shall rest with KMR and thereafter may be renewed at such rates, terms as fixed by KMR. KMR shall not be held responsible,liable for any support provided by dealers, commitments made by DEALERS and such DEALER shall indemnify KMR against any claims, disputes or otherwise. Any change in terms and conditions shall be informed through mail, otherwise by KMR in the site as and when such changes are made and the same shall be agreed and complied to. The laws of that particular country, state, area  are as applicable and are not to be  violated by DEALERS. All disputes are subject to Calicut (Kerala, India) Jurisdiction.
All cheques are subject to realisation . DEALERS shall be activated after credit of amount due to KMR & complying to such policies and procedures of KMR. KMR has exclusive rights to deactivate DEALERS, which shall not be disputed to for any claims or otherwise & in which case all material of KMR are to be handed back to KMR and such dealer agrees not to use the name of KMR for their acts . Such DEALERS shall indemnify KMR for such acts.  DEALERS opting out of dealership are to comply with such policies and procedures of KMR for refund of deposit , which shall be made after amount due to KMR. In all cases the DEALERS agree that they shall not do anything contrary to the interest of KMR. Stock in hand of dealers are the property of dealers & dealers agree that , once stocks are billed to their customers , to DEALERS directly by KMR, they agree that they as DEALERS shall not return or make any claim for their stock in hand and further agree all amount due to KMR shall be settled immediately , within a maximum period  of 15 days.

 

PRODUCTS

 KMR has the sole right to add such products in www.kmrsty.com with such facilities for the visitors, customers, clients etc. KMR shall not be liable for any wrong information of any product. The same shall be corrected by KMR upon bringing to the notice of KMR.

In case even if orders are processed with payments, at times, the products ordered may not be available & the customer agrees to change the order, to such available product & agrees that, no claims of any nature shall be made on KMR. In case of cancellation of order due to non availability of product, the refund shall be made to such customers on following the process for cancellation. Orders processed cannot be cancelled or refund claim raised for which the USERS agree to and USERS also agree to indemnify KMR for such claims, including damages as fixed by KMR. USERS here refer to any person, in any capacty raising orders through www.kmrsty.com , in all capacities enjoying facilities of www.kmrsty.com.  

 

ORDER PROCESS

1. Prices can differ for customers opting for sale orders in online mode and that of a customer buying from counter KMR
2. Time of delivery shall vary, for online orders which shall be based on availability of stock with supplier, dispatch process. Any shortage of items can lead to delay of executing orders including cancellation for which the customers agree to.
3. Deals, Offers  price can vary for online orders. Customers can always opt for online orders or purchase from counter at their discretion.
4. Please refer your Customer ID in your communication for early sorting out of issues.
5. The product name and billing code can be different . Please note that the item is same. Kindly ensure that the item ordered based on the number against the item is what you are ordering, to avoid mistakes.   
6. The time of delivery, dispatch shall vary over and above that mentioned in site.  In case of non availability (including discontinuation), logistics issues the amount shall be refunded within 7 days for which customers agree to - DIRECT CANCELLATION.  Customer cancellation of orders – Processed orders cannot be cancelled &  cancellation policy shall be applicable .
7. Orders can be executed in part based on availability of stock. Separate bills shall be raised for each dispatch of pending items.
8. Delivery charges, packing & freight shall be charged extra for online delivery (including for special packing required.  
9. In all warrenty/Gurantee Purchase, keep your invoice sale for reference. 
10. If the delivery is made to the customer’s location, the customer is responsible for the transportation charges.

   The customers can request  for updation of availability, once products are available.
